Position Overview

  • Spearhead the drafting, reviewing, and negotiating a wide range of commercial agreements (e.g., selling agreements, placement agreements, service agreements and other distribution-related agreements) for the firm’s Client & Product Solutions business.
  • Identify, advise on, and assist in resolving legal issues arising in connection with fund raising, distribution, marketing, order processing and investor relations.
  • Work in close partnership with business teams, other legal counsel (both external and internal), distribution partners and other third-party partners (e.g., CAIS, iCapital, Allfunds).
  • Serve as key resource for distribution agreements across all channels (e.g., banks, wirehouses, RIAs, independent broker dealers, commercial banks, placement agents), as well as all global jurisdictions (e.g., US, EMEA, APAC, LATAM).
  • Collaborate with internal and external legal, sales, finance, operations and tax teams in the evaluation of feasibility, structuring and formation of agreements.
  • Serve as project manager throughout the lifecycle of the agreement drafting and delivery process.
  • Leverage law firm and internal partners to provide legal research and analysis as required during negotiation process.

Qualifications & Experience

  • Bachelor’s Degree required; Juris Doctor required.
  • Minimum 5+ years of experience, preferably in an alternative asset management firm, law firm, investment bank or other high caliber institution.
  • Proficiency or experience with fund offering documents, including private placement memorandums, partnership agreements and subscription documents.
  • Understanding of the private markets investment landscape.
  • Strong work ethic, acute attention to detail and ability to multi-task and prioritize.
  • Excellent interpersonal, decision-making and analytical abilities.
  • Experience reviewing and interpreting statutes, rules and regulations, with knowledge of U.S. securities laws including Investment Advisers Act of 1940 (including the Marketing Rule), Securities Act of 1933 (including Regulation D), the Securities Exchange Act of 1934, and/or the Investment Company Act of 1940.
  • Experience with broker-dealer/FINRA matters, global securities regulations, Alternative Investment Fund Managers Directive (AIFMD), anti-money laundering (AML) regulations, data protection laws, and tax considerations related to alternative investments preferable, but not required.
  • Experience working with a range of distribution channels, ideally with experience in the private wealth segment.
  • Ability and desire to work in a highly innovative, fast-paced setting that is consistently pursuing new and leading- edge solutions for the firm.
  • Very strong ability to partner with cross-functional teams in a highly collaborative manner, always identifying and working well with a broad range of stakeholders.

Pay Range

$150,000 - $240,000

The base salary range for this position is listed above. This position is also eligible for a discretionary annual bonus based on personal, team, and Firm performance. Compensation ranges are based on several factors including job function, level, and geographic location. Final offer amounts are determined by multiple factors including candidate experience and expertise, and may vary from the amounts listed here.
