Founded in 2013, Trend Intermodal Chassis Leasing (Trend) is a chassis leasing company formed by a group of seasoned intermodal transportation industry professionals offering its customers high-quality, multi-loading capacity equipment on term leases. With a focus on high touch customer service, Trend offers alternative leasing solutions to the intermodal industry. Trend was recently acquired by ITE Management (ITE), an investment firm that targets real asset investments with strong cash yield and downside protection. Trend has nearly doubled in size over the previous two years and is poised to accelerate its growth trajectory even further with fresh capital infusion from its new majority owner through both organic growth and strategic acquisitions.

Role:

As Trend’s first Associate General Counsel, with a path to becoming General Counsel, you’ll have an opportunity to build the firm’s legal and compliance program and play a vital role in some of the company’s most strategic priorities. In this role, you will provide strategic legal counsel and thought partnership in corporate governance, transaction and regulatory compliance matters. You will partner closely with Trend’s leadership to identify issues of risk facing the organization and propose and drive solutions to address them. The successful candidate will develop and maintain a deep and nuanced understanding of our business and industry to ensure we are poised for growth while mitigating risk and in maintaining compliance with applicable laws and regulations. This role is ideally suited for an individual who is eager to learn, has an ownership mentality, and thrives in a team-focused, fast-paced environment.

Responsibilities:

  • Draft, review, and negotiate major and critical contracts, including customer agreements, vendor contracts, partnership agreements, and employment contracts.
  • Interpret contract requirements, manage contract performance, and ensure compliance with contractual terms. · Maintain and update existing templates and contracting processes including credit procedures.
  • Own corporate governance efforts, including the adherence to Company policies and Code of Conduct.
  • Oversee compliance with applicable laws and regulations and conduct legal research and analysis to stay current on changes that may impact the Company.
  • Manage federal and state regulatory strategy and compliance, and develop state-specific regulatory guidance.
  • Provide strategic legal advice to management on a variety of legal topics, including contracts, litigation risks, business structure, labor laws, intellectual property, and regulatory matters.
  • Work with management to update and implement stringent credit and collection procedures including in instances of the default and recovery of equipment.
  • Manage the organization’s insurance portfolio and intellectual property portfolio.
  • Maintain a database of the physical and digital records of all contracts, titles, registrations and related documents.
  • Oversee data privacy and security program, training, and compliance.
  • Establish and manage relationships with outside counsel.

  • JD from an accredited law school.
  • Bar membership in good standing in NY or NJ.
  • Years of Experience: 4-6 years of corporate legal experience, preferably at least two years at a law firm. In-house experience a plus.
  • Excellent written and verbal communication skills.
  • Demonstrated ability to manage a range of corporate, commercial and regulatory legal matters.
  • Experience negotiating, drafting, and interpreting commercial agreements (sale and buy-side).
  • Sound business judgment and the ability to work well in a fast-paced team environment.
  • Excellent team player.
  • Ability to think strategically, anticipate potential problems, and design creative solutions.
  • Knowledge of statutes, rules, and regulations pertaining to businesses, particularly within transportation industry a plus.
  • Willing to travel to regions where chassis and/or related transportation operations are located.
